Accepting these Terms

Please read these Terms of Service (“Terms”) carefully before using The Makers Resource Shop (the “Site”) operated by Misty Henry Product Safety and Consulting Services, LLC (“Company,” “we,” “us,” or “our”).

By accessing or using any content on the Site you agree to be bound by these Terms.  If you disagree with any part of the terms then you may not access the Site.

Your use of the Site is subject to Company’s Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

Visiting the Site or sending emails to Company constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications provided electronically to you by Company, via email and on the Site, satisfy any legal requirement that such communications be in writing.

The Site may link to other websites (“Linked Sites”). These Linked Sites are not under the control of Company. Company is not responsible for the contents of any Linked Sites. Company provides these links as a convenience to you. The links do not constitute endorsement by Company of the site or any association with its operators.

You are granted a non-exclusive, non-transferrable, revocable license to access and use the Site in strict accordance with these Terms. All content included on this Site is the property of Company and is protected by copyright and other laws that protect Company’s intellectual property and proprietary rights. You agree to not modify, publish, transmit, reverse engineer, or create derivative works found on the Site. You agree that you do not have nor will have any ownership rights in any protected content, and that Company does not grant you any licenses, express or implied, to the intellectual property of Company except as expressly authorized by these Terms.

Products or Services

Certain products or services may be available exclusively online through the Site. These products or services may have limited quantities and are subject to return or exchange only according to the Return Policy, which is hereby incorporated by reference into this agreement.

Company reserves the right, but is not obliged to, limit the sales of products or services to any person, geographic area, or geopolitical area. Company may exercise this right on a case-by-case basis. Company reserves the right to limit the quantities of any products or services offered. All descriptions of products or services, or product or services pricing, are subject to change at anytime without notice, at the sole discretion of Company. Company reserves the right to discontinue any product or service at anytime.

Digital Purchases & Refunds

The Site includes downloadable digital content available for purchase. This content is protected by copyright law. Sharing copyrighted work without permission is unlawful.

Due to the immediate availability of digital downloads, we do not provide refunds for any purchases of digital downloadable content. If you are dissatisfied with your purchase, please contact our customer care team at hello@themakersresourceshop.com.

Modifications

Prices for products and services are subject to change without notice. Company reserves the right at any time to modify or discontinue the product or service (or any part or content thereof) without notice at any time. Company shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the product or service.

Accuracy of Billing and Account Information

Company reserves the right to refuse any order you place on the Site. Company may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that Company makes a change to or cancels an order, Company may attempt to notify you by contacting the email address and/or billing address/phone number provided at the time the order is placed. Company reserves the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

You agree to provide current and accurate purchase and account information for all purchases made on the Site. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Optional Tools

Company may provide you with access to third-party tools over which Company neither monitors nor have any control or input.

You acknowledge and agree that Company provides access to such tools “as-is” and “as available” without warranties, representations, or conditions of any kind and without any endorsement. Company shall have no liability whatsoever arising from or relating to your use of third-party tools.

Any use by you of optional tools offered through the Site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which the tools are provided by the relevant third-party provider(s).

Company may also, in the future, offer new services and/or features through the Site (including, but not limited to, the release of new tools and resources). Such new services and/or features shall also be subject to these Terms of Service.

User Comments, Feedback, and Other Submissions

If, on your own or at Company’s requests, you send certain specific submissions (for example contest entries) or you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that Company may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to Company. Company is and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

Company may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Company or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead Company or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. Company takes no responsibility and assumes no liability for any comments posted by you or any third-party.

Prohibited Uses

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the Site or its content: (a) for any unlawful purpose; (b) to solicit others; © to solicit others to perform or participate in any unlawful acts; (d) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (e) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (f) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (g) to submit false or misleading information; (h) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (i) to collect or track the personal information of others; (j) to spam, phish, pharm, pretext, spider, crawl, or scrape; (k) for any obscene or immoral purpose; or (l) to interfere with or circumvent the security features of the Site or any related website, other websites, or the Internet. Company reserves the right to terminate your use of the Site or any related website for violating any of the prohibited uses. 

Indemnification

You agree to indemnify, defend, and hold harmless Company, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses relating to or arising out of your use of the Site, services, or digital products.

Dispute Resolution

Both You and Company agree that any dispute or claim arising from or relating to these Terms shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Liability Disclaimer

The information and content on this Site may include inaccuracies or typographical errors. Company may make periodical changes at any time. Company makes no representations about the suitability, reliability, timeliness, or accuracy or the information on the Site. To the maximum extent permitted by applicable law, in no event shall Company be liable for any direct, indirect, punitive, incidental, special, consequential damages, or any other damages, without limitation. 

International Users

Company is owned and operated in the United States. If you access the Site or services provided by Company outside of the United States of America, you are responsible for compliance with your local laws. 

Access Restriction

You represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given your consent to allow any of your minor dependents to use this Site.

Any offer for products or services made on this site is void where prohibited.

Company reserves the right, in its sole discretion, to refuse access or terminate your access to the Site at any time without notice.

Governing Law

These terms are governed by the laws of Indiana without regard to its conflict of law rules, and the laws of the United States of America.

Entire Agreement

This agreement constitutes the entire agreement between you and Company with respect to the Site and supersedes all prior or contemporaneous communications between you and Company.

Severability

If any part of this agreement is determined to be invalid or unenforceable, the rest of this agreement shall still be enforceable and the portion deemed invalid will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

Change to Terms

Company reserves the right, in its sole discretion, to change these Terms. The most current version of the Terms will supersede all previous versions. Company encourages you to periodically review the Terms to stay informed on updates.
